Alternatively our Special Terms and Conditions allow for transfer of the intellectual property upon completion of the project.
Standard Terms and Conditions
When beginning a Product Development Project with FormuNova, an upfront Commitment Fee will be required. This fee covers all samples and revisions needed to complete your product’s development.
The initial Commitment Fee is non-refundable and final. However, you’ll earn this initial Fee as a credit towards your full production orders, applied pro-rata to the first 6,000* units ordered, and it does not expire (R&D Credits).
Each fee will be credited toward the specific product being developed, and the R&D Credits cannot be allocated across different projects.
In exchange for the aforementioned R&D credit, we will retain the Intellectual Property of the formulation created and will pledge to serve as your exclusive manufacturer for this formulation.
* The 6,000-unit threshold is our standard minimum for applying the R&D credit. However, for exceptionally small products, a higher threshold may be required.
Special Terms and Conditions – Formulation Charged as a Service
If interested in obtaining the Intellectual Property of the formulation created, you can receive, by request, a custom quote for the Formulation Service fee.
This Formulation Service Fee will cover all samples and revisions needed to complete your product’s development.
The Formulation Service Fee for this service is non-refundable and final. No R&D credits will be offered for this service.
Upon approval of the final sample you will receive a full report with manufacturing instructions, ingredient concentrations and quality specifications.

General Terms and Conditions Applicable to All Projects
We offer unlimited revisions but require comprehensive feedback for each one. Please refer to the basic feedback guidelines at formunova.com/feedback. To maintain efficiency of the product development process, we reserve the right to refuse reworking aspects of the formulation that were already completed based on feedback from previous sample rounds.
Due to the limitations of lab-scale equipment, sample revisions will have an expected net weight between 1 oz and 4 oz. Samples will be provided in standard lab packaging, which may differ from the final selected packaging for the product. The sample quantity will be sufficient for evaluating formulation, consistency, and scent but is not intended to serve as a visual mockup of the final finished product.
A product development project will not include custom packaging sourcing unless specifically mentioned.
We strive to meet the expected lead times; however, they are not guaranteed. Custom formulation involves unforeseen challenges that may require troubleshooting. Each sample revision undergoes stability testing, and in some cases, multiple internal revisions may be needed before a stable version is ready for shipment.
We guarantee as part of the specifications of each product that the ingredient list and concentrations will be 100% consistent between the final approved R&D sample and production, up to the limitations of our industry-standard, 3rd-party calibrated and audited scales, however, small variations in scent intensity or consistency may be expected due to the different size of tanks and mixers between the small-scale sample lab equipment and the large-scale production equipment.
We may update or amend these Terms and Conditions from time to time without prior notice. The version applicable to your order is the version in force on the date of the order.
Your placement of an order constitutes acknowledgment and acceptance of these Terms. We are grateful for the opportunity to serve your business and strive for excellence in delivering quality products.
